1.1 Terms of Use

1.1.1 General

By using the Brooklyn Computer Systems Inc. (BCS), VAHS ("Visit Analysis Healthcare System") web site http://www.vahsys.com and related sites (“Software”), you are agreeing to be bound by the following terms and conditions (“Terms of Use”).

BCS reserves the right to update and change the “Terms of Use” from time to time without notice. Any new features that augment or enhance the current Software, including the release of new tools and resources, shall be subject to the “Terms of Use”. Continued use of the Software after any such changes shall constitute your consent to such changes. 1.1.2 Account Terms

  1. Accounts registered by “bots” or other automated methods are not permitted.
  2. You must provide your company name, a valid email address, and any other Information requested in order to complete the signup process.
  3. You are responsible for maintaining the security of your account and password. BCS cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
  4. You are responsible for all Content posted and activity that occurs under your account (even when Content is posted by others who are sharing your pages).
  5. In the event where any Lists being "Public" and/or shared, such lists may be promoted and linked by BCS as example uses of the Software. These lists may also be indexed by search engines.
  6. You may not use the Software for any illegal or unauthorized purpose. You must not, in the use of the Software, violate any laws in your jurisdiction (including but not limited to copyright laws).
  7. Where applicable, you agree to pay on time any fees or applicable charges according to any specified schedule and payment method. You also agree to pay any related taxes, service charges, late fees or other applicable charges.

Violation of any of these agreements will result in the termination of your Account. While BCS prohibits such conduct and Content on the Software, you understand and agree that BCS cannot be responsible for the Content posted on the Software and you nonetheless may be exposed to such materials. You agree to use the Software at your own risk.

1.1.3 Termination

BCS, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Software, or any other BCS Software, for non-payment and the General Condition and Termination Clause set forth in this document. Such termination of the Software will result in the deactivation or deletion of your Account or access to your Account, and the forfeiture and relinquishment of all Contents in your Account.

1.1.4 Modifications to the Software and Prices

  1. BCS reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Software (or any part thereof) with or without notice.
  2. BCS shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Software.

1.1.5 Copyright and Content Ownership

  1. We claim no intellectual property rights over the material you provide to the Software. Your profile and materials uploaded remain yours. However, by setting your pages to be shared publicly, you agree to allow anyone to view and share your Content.

  2. DO NOT SUBMIT CONFIDENTIAL OR PROPRIETARY IDEAS TO US. DO NOT SUBMIT IDEAS TO US IF YOU EXPECT ANY FORM OF COMPENSATION. ANY IDEAS YOU CHOOSE TO SUBMIT TO US MAY BE USED BY US IN ANY MANNER WHATSOEVER WITHOUT COMPENSATING YOU IN ANY WAY AND WITHOUT OBLIGATION OF CONFIDENTIALITY. PLEASE READ THIS SECTION CAREFULLY BEFORE YOU SUBMIT ANY IDEAS TO US.

    As used in these Terms of Use, the term "Ideas" refers to any feedback, suggestions, inventions, conceptions or ideas you submit to BCS. The term "Ideas" does not include any Submission you post on a BCS Site. BCS does not wish to receive confidential or proprietary ideas. All Ideas submitted to BCS through our Service shall be considered NON-CONFIDENTIAL and NON-PROPRIETARY.

    By submitting Ideas to BCS, you are granting to BCS and its designees a perpetual, irrevocable, worldwide, non-exclusive, fully-paid up and royalty free, fully assignable, transferable and sub licensable license to use, exploit, modify, improve, copy, distribute, display or perform publicly (including, in the case of sound recordings, to perform publicly in digital audio transmission), prepare derivative works of the Ideas you submit (and all rights therein), without restrictions of any kind, without any payment or other consideration of any kind, without notification to you or any third party, and without attribution, throughout the universe and in any form, format or medium now or hereafter known, and to authorize others to do the same. This license includes the right to reduce to practice, make, have made, use, import, export, sell, and offer to sell products and services incorporating, embodying, or using the Ideas (including, to the extent reasonably necessary, any ideas underlying the Ideas) and to authorize others to do the same.

1.1.6 General Conditions and Termination Clause

  1. Your use of the Software is at your sole risk. The software is provided on an “as is” and “as available” basis.
  2. You must not modify, adapt or hack the Software or modify another website so as to falsely imply that it is associated with the Software, BCS, or any other BCS software.
  3. You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Software, use of the Software, or access to the Software without the express written permission by BCS.
  4. We may, but have no obligation to, remove Content and Accounts containing Content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Software.
  5. Verbal, physical, written or other abuse (including threats of abuse or retribution) of any BCS customer, employee, member, or officer will result in immediate account termination.
  6. You understand that the technical processing and transmission of the Software, including your Content, may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices.
  7. You must not upload, post, host, or transmit unsolicited email, SMSs, or “spam” messages.
  8. You must not transmit any worms or viruses or any code of a destructive nature.
  9. BCS does not warrant that (i) the software will meet your specific requirements, (ii) the software will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the software will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the software will meet your expectations, and (v) any errors in the Software will be corrected.
  10. You expressly understand and agree that BCS shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if BCS has been advised of the possibility of such damages), resulting from: (i) the use or the inability to use the software; (ii) the cost of procurement of substitute goods and services resulting from any goods, data, information or software purchased or obtained or messages received or transactions entered into through or from the software; (iii) unauthorized access to or alteration of your transmissions or data; (iv) statements or conduct of any third party on the software; (v) termination of your account; or (vi) any other matter relating to the software.
  11. The failure of BCS to exercise or enforce any right or provision of the “Terms of Use” shall not constitute a waiver of such right or provision. The “Terms of Use” constitutes the entire agreement between you and BCS and govern your use of the Software, superseding any prior agreements between you and BCS (including, but not limited to, any prior versions of the “Terms of Use”).

1.2 Privacy Statement

1.2.1 General

Brooklyn Computer Systems Inc respects your privacy and is committed to protecting your personal information that you provide to us. Brooklyn Computer Systems Inc reviews and updates this Privacy Statement from time to time as needed without notice. Therefore, you should review the terms of this Policy Statement periodically to make certain that you are aware of how Brooklyn Computer Systems Inc collects and uses personal information. By using our website, you consent to our collection and use of your personal information. 1.2.2 Website usage data collection

Brooklyn Computer Systems Inc collects standard server log files that include information about the pages accessed by site visitors.
